Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of mydataoutlet.com (the “Site”), operated by My Data Outlet International, LLC (“MDO”, “we”, “our”, or “us”). By accessing or using the Site, you (“you” or “User”) agree to be bound by these Terms. If you do not agree, you must not use the Site.

These Terms apply to your use of the Site only. Any use of MDO software, data, or services is governed by a separate written agreement between MDO and the licensee — such as a Master License Agreement or the Terms of Use for Snowflake — which controls over these Terms to the extent of any conflict with respect to such software, data, or services.

1. About MDO

MDO is an Illinois limited liability company with its principal place of business at 7622 W. Balmoral, Chicago, Illinois 60656. MDO develops and licenses software and provides related services for investment data integration and research workflows.

2. Limited License to Use the Site

Subject to your compliance with these Terms, MDO grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business purposes. This license does not include the right to:

  • Resell, rent, lease, or otherwise commercially exploit the Site or its contents;
  • Make derivative use of the Site or its contents;
  • Use data mining, robots, scrapers, or similar automated extraction tools, except for legitimate public search-engine indexing;
  • Download or copy information from the Site other than pages cached by your browser in the ordinary course of viewing; or
  • Frame or mirror any portion of the Site without MDO’s prior written consent.

3. Prohibited Uses

You agree not to:

  • Use the Site in violation of any applicable federal, state, local, or international law or regulation;
  • Attempt to gain unauthorized access to any portion of the Site or its related systems, networks, or accounts;
  • Interfere with, disrupt, or overburden the Site or the servers or networks that host it;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Site;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Upload or transmit viruses, worms, or other malicious code; or
  • Use the Site to harass, defame, or violate the rights of any third party.

4. Intellectual Property

The Site and all of its contents — including without limitation text, graphics, images, logos, icons, video, and software — (collectively, “Site Content”) are the property of MDO or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

“My Data Outlet” and “MDO” are trademarks of MDO. All other MDO product names, logos, and brand elements appearing on the Site are names, marks, or trade dress of MDO. You may not use any MDO name, mark, or logo without MDO’s prior written consent.

Nothing in these Terms grants you, by implication, estoppel, or otherwise, any license or right to use any Site Content, MDO trademark, or other MDO name or mark except as expressly permitted herein.

5. Feedback

If you submit any comments, suggestions, or other feedback to MDO regarding the Site or MDO’s products or services (“Feedback”), you grant MDO a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, create derivative works of, distribute, and otherwise exploit the Feedback for any purpose, without compensation or attribution to you. Feedback is not considered confidential.

6. Third-Party Links and Services

The Site may contain links to third-party websites or services, including without limitation Snowflake Marketplace, Calendly, and LinkedIn. MDO does not control these third-party sites and is not responsible for their content, privacy practices, or availability. Your use of any third-party site or service is subject to that third party’s terms and policies. A link on the Site does not constitute an endorsement by MDO.

7. Privacy

Your use of the Site is also subject to MDO’s Privacy Policy, which is incorporated by reference into these Terms.

8. Disclaimer of Warranties

THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MDO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

MDO MAKES NO WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. INFORMATION ON THE SITE IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, OR INVESTMENT ADVICE. YOU SHOULD NOT RELY ON ANY SUCH INFORMATION WITHOUT OBTAINING APPROPRIATE PROFESSIONAL ADVICE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MDO OR ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL — ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MDO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, MDO’S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Any liability MDO has to you under any MDO software or services agreement (such as a Master License Agreement or the Terms of Use for Snowflake) is governed by that agreement, not these Terms.

10. Indemnification

You agree to defend, indemnify, and hold harmless MDO and its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of or access to the Site;
  • Your violation of these Terms; or
  • Your violation of the rights of any third party.

11. Changes to These Terms

MDO may modify these Terms at any time in its sole discretion. When changes are made, MDO will update the “Updated” date above. Your continued use of the Site after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to stop using the Site. Material changes will be communicated through a notice on the Site where practicable.

12. Termination

MDO may terminate or suspend your access to the Site at any time, without prior notice or liability, for any reason — including without limitation your breach of these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

13. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles.

14. Jurisdiction

Any legal action or proceeding arising under or relating to these Terms will be brought exclusively in the state or federal courts located in Cook County, Illinois. You consent to the personal jurisdiction of, and venue in, those courts, and waive any objection based on forum non conveniens.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any product-specific agreements you have entered into with MDO (such as the Terms of Use for Snowflake or a Master License Agreement), constitute the entire agreement between you and MDO concerning your use of the Site, and supersede any prior or contemporaneous agreements or communications, whether written or oral, regarding that subject matter.
